GTCR co-leads $200 million second lien loan for Sophos

GTCR co-led a second lien loan alongside Sophos' first lien refinancing. The announcement leaves post-closing debt balances and cash retained undisclosed.

GTCR jointly led a $200 million second lien term loan for Sophos, the cybersecurity company owned by Thoma Bravo, according to its October 15 announcement . The loan was raised in connection with the refinancing of Sophos' existing $2.45 billion first lien term loan. GTCR did not disclose its individual share of the investment. Brokers and funders assessing a refinancing need to establish which creditor has first claim on the assets and how much cash remains after the old debt is repaid. A second lien loan adds a creditor with a different collateral position. The headline amounts alone cannot establish Sophos' new liquidity or the total debt outstanding after the refinancing. GTCR described Sophos as serving approximately 625,000 customers, mainly small and medium-sized businesses and mid-market organizations. The company provides endpoint and network protection, along with managed detection and response services. It acquired Secureworks in February 2025, adding an enterprise-focused managed security business. Those customers buy security services; the announcement does not describe a lending program for them. ABF Journal's October 16 coverage also identified the financing as a second lien loan connected to the first lien refinancing. Neither that account nor GTCR's release provides the new first lien balance, interest rates, maturity dates or a detailed use of proceeds. The $2.45 billion figure describes the existing first lien loan being refinanced. It should stay attached to that description until replacement terms are available. The distinction matters when a financing announcement reaches a credit file. Money raised to repay another lender replaces a liability. Fees can absorb additional proceeds. Cash available to run the business depends on what remains after those payments and any restrictions. Without a closing statement and the final debt schedule, an underwriter cannot turn the two announced amounts into a reliable cash balance. Lien rank answers a separate question. In a conventional second lien structure, the junior creditor has a claim on collateral behind the first lien creditor. The actual rights depend on the security documents and the agreement between creditors. That agreement can govern enforcement, standstill periods and how collateral proceeds are distributed. GTCR's announcement does not disclose those provisions, so it cannot establish the recovery protection this particular loan gives its investors. The same document review is useful in smaller secured transactions. A broker arranging additional funding should identify the legal borrower, check existing liens and confirm whether the current lender permits more debt. A payoff letter and a recorded release address different steps: the amount needed to discharge a balance and the removal of the related lien. An approval based on an expected release should remain conditional until the required evidence arrives. These are diligence questions, not reported problems at Sophos. The release gives no basis to infer a missed payment, a covenant breach or a distressed refinancing. It also provides no guarantee from Thoma Bravo. Sponsor ownership and a sponsor's contractual obligation to contribute cash are different forms of support; a credit decision should identify which one it actually has. GTCR said the investment followed the close of its inaugural Capital Solutions Fund. The firm described that strategy as making minority structured investments alongside existing owners and management. Here, the disclosed instrument is debt. Calling GTCR a private equity firm does not turn the second lien loan into an equity purchase or establish a change in control. Opinion Require the post-closing debt schedule An additional lender should reconcile every surviving facility to its borrower, balance and collateral priority before approving more credit. If the closing package leaves a payoff or lien release unresolved, make that an explicit funding condition rather than assuming the refinancing cleared it.
